PTCL Completes Acquisition of Telenor Pakistan, Opening New Phase in Telecom Sector

Islamabad: Pakistan Telecommunication Company Limited (PTCL) has formally completed the acquisition of 100 percent shareholding of Telenor Pakistan and Orion Towers, marking a major consolidation in Pakistan’s telecom sector and setting the stage for expanded digital services nationwide.

The acquisition, effective from December 31, 2025, brings Telenor Pakistan and Orion Towers fully under PTCL’s ownership, alongside Ufone 4G (PTML) and U Microfinance Bank, according to an official announcement.

Telenor Pakistan to Operate Independently During Transition

PTCL said that Telenor Pakistan will continue to function as a separate legal entity during the transition period. In the next phase, subject to regulatory approvals, Telenor Pakistan and Pak Telecom Mobile Limited (PTML) are planned to be integrated into a single merged entity, referred to as MergeCo.

The company said the integration aims to combine operational strengths while ensuring service continuity for customers and employees.

PTCL Acknowledges Telenor’s Role in Telecom Growth

PTCL acknowledged the contribution of Telenor ASA to Pakistan’s telecom landscape, noting that the company played a significant role in improving service quality and expanding mobile connectivity over nearly two decades.

The merger is expected to bring together complementary assets, enabling broader network reach, optimized spectrum usage, and faster deployment of digital and data-driven services.

Focus on Customer Experience and Digital Innovation

According to PTCL, the future merged entity will focus on customer-centric services, enhanced network capabilities, and secure digital solutions aligned with Pakistan’s growing digital economy.

The company said the consolidation would help accelerate innovation while improving service reliability and coverage across urban and underserved areas.

PTCL CEO Calls Acquisition a Milestone for Telecom Sector

Commenting on the development, Hatem Bamatraf, President and Chief Executive Officer of PTCL and Ufone 4G, described the acquisition as a landmark moment for the company and the telecom industry.

“This is a proud moment for PTCL and a significant milestone for Pakistan’s telecom sector. Our focus remains on delivering seamless, high-quality, and customer-centric services as we move forward,” he said.

He added that employees joining from Telenor Pakistan would be welcomed with a focus on continuity, talent retention, and the integration of best industry practices.

Strengthening Pakistan’s Digital Economy

PTCL said the acquisition strengthens Pakistan’s digital infrastructure by creating a larger, more resilient telecom platform capable of supporting businesses, individuals, and emerging digital services.

The company reiterated its commitment to expanding digital access, improving user experience, and supporting national digital transformation goals.
